José Pablo Dulanto

José Pablo focuses his practice on the areas of mergers and acquisitions, natural resources and general corporate matters. He has extensive experience representing Chilean and foreign clients, including investment banks, in corporate matters, domestic and international mergers and acquisitions, joint ventures, corporate finance and restructuring and capital investments, both in Chile and abroad.

José Pablo has specialized in matters related to natural resources in the energy and mining sectors, with emphasis on issues of water rights and mining, development of projects, generation and transmission of energy and financing them.

Mergers and Acquisitions and Mining

  • Inversiones SB (Grupo SB): Advise in the acquisition of all issued shares of Medipharm, a long term leasing agreement of Medipharm’s plant and a commercial agreement for the sale of Medipharm’s products in Salcobrand’s pharmacy chain
  • Cominor (Chile): Advise in joint venture between Cominor and Simbalik (Taiwan) for the development of a lithium production project in the Salar de Maricunga (undisclosed amount)
  • Grupo Uno Salud (Chile): Advise the founding group in the sale of a controlling package of Grupo Uno Salud, the largest operator of dental health centers in Chile, as well as a group of local investors, and an association between them (undisclosed amount)
  • Cominor (Chile): Advise on the capitalization of Sociedad Minera Atacama Contractual Minera Kozan, a copper production company in the Atacama Region, through the contribution of mining properties and the subsequent sale of shares to Nittetsu Mining Co. Ltd. (Japan) (USD $25.5 million)
  • Trilogy Natural Resources (NZ): Advise on the purchase of 25% of the shares of Forestal Casino, a company that produces rosehip oil (undisclosed amount)
  • Inversiones Juan Yarur (Chile): Advise on the sale to Arval Service Lease (subsidiary of BNP Paribas) of 100% of Relsa Brasil Locação de Veículos Ltda., a company in the leasing and handling of fleets of vehicles and machinery in Brazil (undisclosed amount)
  • Inversiones Juan Yarur (Chile): Advise in the partnership with Arval Service Lease (subsidiary of BNP Paribas) including the sale of 50% of the share capital of Empresas Relsa SpA, which owns 100% of the shares of Relsa Chile and Relsa Peru –both companies which lease and manage a fleet of vehicles and machinery in those countries.   • Inversiones SB S.A. (Chile): Advise on the purchase and sale of 100% of ISB SpA, a real estate company that’s holdings include commercial premises for the company’s retail line (undisclosed amount)
  • Inversiones SB S.A. (owner of Salcobrand and Pre-Unic): Advise on the purchase of 70% of DBS SpA one of the main chains of beauty and personal care products stores in Chile (undisclosed amount)
  • Statkraft (Norway): Advise on the sale to Latin America Power of 100% shares of Norvind S.A. owner of a 46MW wind farm (USD $110 million)

  • Atiaia (Brasil): Advise on the sale of two hydroelectric projects located in the south of Chile to CWE (undisclosed amount)

  • Norvind S.A.: Advise in the development of the Totoral Wind Farm Project (a 46MW wind power plant located in the north of Chile) in all legal matters related to this project, including the project financing by IFC and negotiation and drafting of an EPCM contract, the supply agreement regarding the wind turbine generators, and several other contracts including easements, mining rights, grid connection, transportation of equipment, etc.
  • Hidroeléctrica Trayenko S.A.: Advise on all the legal matters in the development of four hydro power plants for 750 MW in the south of Chile including electrical concessions, easements, mining rights, land purchases, etc.
  • Hidroeléctrica Trayenko S.A.: Advise in connection with the auction of the Manso River water rights made by the Dirección General de Aguas (DGA).
  • SN Power Chile Inversiones Eléctricas Limitada: Advise in connection with the project financing by IFC of the La Higuera power plant project.
  • Hidroeléctrica Trayenko S.A.: Advise in the acquisition in a bid process of water rights in the Valdivia region for the development of three power plant projects.
  • SN Power Chile Inversiones Eléctricas Limitada: Advise in connection with the bid process organized Iberdrola of Spain for the sale of Iberoamericana de Energía S.A., an operator of two power plants in Chile and related water rights.
  • Pacific Hydro Limited: In the acquisition of Coya and Pangal power plants, including related water rights and additional water rights in the Cachapoal river basin, from Codelco, Chile’s state-owned copper producer.
  • Statkraft Norfund Power Invest AS (Norway): Advise in connection with the acquisition of a controlling interest in Hidroeléctrica La Higuera S.A. and related water rights in the Tinguiririca river basin.
  • Statkraft Norfund Power Invest AS (Norway): Advise in connection with the bidding process for the acquisition of the Canutillar power plant and related water rights from Endesa Chile.
