José Ignacio Marín

José Ignacio concentrates his practice on the firm's Corporate and Venture Capital area, advising companies and investors in forming and operating private investment funds, including those backed by CORFO.

In the Venture Capital area, he advises companies in several financing rounds and stages of development of their businesses, including Pre-Seed, Seed, Series A, and Series B, in Chile and abroad, in equity rounds or through debt instruments, such as convertible mutual funds or SAFE contracts. In addition, he advises companies on the strategy and implementation of compensation plans or ESOPs and the structuring of financing through venture debt instruments.

He also advises companies in the expansion and internationalization of their businesses, either through company flips abroad or through domestic and cross-border mergers and acquisitions.

On the other hand, José Ignacio also concentrates his practice in the Fintech area, advising companies on the multiple regulatory aspects and structuring financial businesses based on technology in compliance with the applicable regulations.

  • SQM Industrial S.A.: Advised on the review of the Limited Partnership Agreement and preparation of a report regarding the risks of certain provisions and their adjustment to market standards for an investment in The Yield Lab Latam Opportunity Fund, L.P., a private investment fund incorporated under the laws of the Cayman Islands.
  • FEN Ventures III Fund LP: Advised on the negotiation and review of investment documentation for an equity investment in Splight, for an investment of US$250,000.00, in a US$3,000,000.00 seed round.
  • SQM Industrial S.A.: Advised in the negotiation and review of investment documentation for an equity investment in Electric Era Technologies of US$3,000,000.00 as part of a US$13,000,000.00 Series A round led by HSBC Climate Tech Venture Capital Fund SCSp.
  • FEN Ventures III Fund LP: Advised on a US$350,000.00 investment in Kunzapp LLC via SAFE, in a seed investment round. Advised in negotiation, conducting due diligence, and drafting investment and ancillary documents.
  • SQM Industrial S.A.: Advised on a US$3,000,000 equity investment in Altilium Metals Limited, which included a warrant to invest an additional US$9,000,000.00 by December 31, 2023, in a Series A investment round. We provided advice in the negotiation, conducting due diligence, and drafting relevant investment documentation.
  • Voltera: Advised on the preparation and negotiation of a Master Agreement and corresponding exhibits with Ameris, regarding the structuring of a venture debt deal of US$50,000,000.00, through which Ameris would finance the acquisition of electric vehicles to be utilized in Chile through a commercial relationship with TuCar and Uber.
  • Fen Ventures III Fund LP: Advised on the negotiation and preparation of an equity investment in Human Forest, a UK-based company, as part of their £17,000,000 (US$21,300,000) Series A round.
  • Andes STR: Advised on structuring and incorporating an investment fund and WEG Capital to invest in real estate in Orlando, Florida, via short-term rent.
  • Fen Ventures III Fund LP: Advised on preparing and negotiating a SAFE for investment in Wynwood House in a seed round of US$7,000,000.00.
  • Destácame SpA: Advised on the negotiation and preparation of the legal documents for its Series B financing round for an investment of approximately US$10,000,000.
  • SQM Industrial S.A. and Instacrops: Advised both clients on the negotiation and preparation of SAFE and ancillary documentation for a total investment of US$1,000,000 from SQM.
  • Vestuá: Advised the client, a Chilean startup that allows to buy and sell secondhand cloth through the internet, in the share acquisition by H&M Fashion AB, one of the largest cloth companies in the fashion industry.
